Terms of Service
These Terms of Service (“Terms”) govern your use of adwixmedia.com and the services provided by Adwix Media (“Adwix”, “we”, “us”). By using our website or engaging our services, you agree to these Terms. If you are using our services on behalf of a business, you confirm that you are authorised to accept these Terms for it.
1. Our services
Adwix Media provides digital marketing and growth services, including Meta (Facebook and Instagram) and Google ads management, search engine optimisation (SEO) and local SEO, social media and content marketing, websites and landing pages, WhatsApp Business API automation (Adwix Connect), CRM and travel CRM (Adwix Atlas), and related consulting. The exact scope of work for each client is set out in their proposal or agreement. Our published prices are on our services page.
2. Your responsibilities
- Provide accurate information, timely approvals and the account access we need (for example, ad accounts, Meta Business Manager, Google Ads, Search Console and WhatsApp Business accounts).
- Make sure your products, offers, claims and content are lawful, accurate and comply with the policies of the platforms we use for you.
- Hold the rights to any logos, images, videos and text you give us to use.
- Have a lawful basis, including consent where required, for the customer data you ask us to process or message, and handle the leads we generate for you in line with applicable law.
- Keep your own login credentials secure and tell us promptly if you suspect misuse.
3. Fees, ad spend and taxes
- Our fees are as stated in your proposal or agreement. Unless agreed otherwise, monthly management fees are invoiced in advance.
- Ad spend is separate from our fees and is paid by you directly to Meta, Google or other platforms, unless we agree in writing to manage billing for you.
- WhatsApp Business Platform message charges are set and billed by Meta (or your WhatsApp provider) and are separate from our fees.
- All fees are exclusive of GST and other applicable taxes, which are added to invoices.
- If an invoice is unpaid by its due date, we may pause work until it is paid.
- Refunds, if any, are handled as set out in your agreement. Fees for work already performed and ad spend already used are not refundable.
4. Third-party platforms
Our work depends on platforms such as Meta, Google and WhatsApp, which we do not control. They can change their policies, prices, features or algorithms, review or reject ads and message templates, or restrict accounts. We will follow their rules and help you resolve issues, but we are not responsible for their decisions, outages or changes.
5. Results
Marketing results depend on many factors outside our control, including your offer, pricing, competition, seasonality, platform changes and how quickly your team follows up with leads. We commit to doing the agreed work with care and to reporting honestly, but we do not guarantee specific rankings, leads, sales or return on ad spend unless your agreement states a specific commitment in writing.
6. Intellectual property
- Once you have paid for them in full, you own the final deliverables created specifically for you, such as ad creatives, website content and copy.
- Ad accounts, pages, analytics and WhatsApp Business accounts created in your name remain yours.
- We keep ownership of our own tools, templates, software (including Adwix Connect and Adwix Atlas), methods and know-how. Where you use them, you receive a licence for the duration of your subscription.
- Unless you ask us not to, we may mention your business name and non-confidential results in our portfolio or case studies, without revealing confidential data.
7. Confidentiality and data protection
Each side will keep the other’s confidential information private and use it only for the engagement. We handle personal data as described in our Privacy Policy and in line with India’s Digital Personal Data Protection Act, 2023. When we process your customers’ data for you, we do so only on your instructions.
8. Term and cancellation
Your engagement runs for the period and minimum term stated in your agreement. For example, SEO has a three-month minimum. Either party may end it by giving the notice set out in that agreement. We may suspend or end services immediately if you breach these Terms, fail to pay, or ask us to do something unlawful or against platform policies. When an engagement ends, we will hand back access to accounts that belong to you and stop using your data, except where the law requires us to keep it.
9. Limitation of liability
To the extent permitted by law, Adwix Media is not liable for indirect or consequential losses, such as lost profits, lost data or lost business opportunities, or for losses caused by third-party platforms. Our total liability for any claim relating to our services is limited to the fees you paid us for the services concerned in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited under Indian law.
10. Using our website
The content on our website, including guides, tools and calculators, is for general information only and is not legal, tax or financial advice. Prices and platform information can change, so check current details before relying on them. You must not misuse the website, for example by attempting to break its security, scraping it at scale, or using it to send spam.
11. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails, the courts at Mohali (SAS Nagar), Punjab will have exclusive jurisdiction.
12. Changes to these Terms and contact
